Job Responsibibilities
The Service Provider shall:
- Undertake legal research work and provide legal advisory services in respect of Corporate, Non-Operated Assets, and Country Services.
- Identify, analyse and interpret national and international statutory and regulatory texts and contractual documents at draft stage or in force. Advise on the interpretation, application, and enforcement of such texts.
- Analyse and interpret Nigerian legislation and/or draft bills; follow up and regularly review new legislations and pending bills in National Assembly.
- Provide legal and contractual support to the COMPANY’S asset departments/project teams in assigned matters including in its liaison with partners, as applicable.
- Handle routine to complex legal dossiers and take part in negotiations with partners, contractors, and government agencies.
- Participate in preparing, reviewing, and negotiating a wide range of agreements and contracts used in the E&P Industry.
- Prepare and draft agreements and contracts and follow through their implementation.
- Advise on contract provisions.
- Provide legal opinions/advice to relevant COMPANY’S departments/project teams on a wide range of legal issues.
- Provide legal support to COMPANY through the analysis of legal risks and possible impact on potential transactions.
- Participate in negotiations with COMPANY’S’s partners, contractors and relevant government agencies.
- Representation of Company at External Meetings as may be advised from time to time.
- Advise on pre-litigation phases, handle litigation and arbitration matters, liaise with external counsel in any litigation/arbitration and settlement process, and represent the company in court and tribunals.
- Carry out any other tasks or activities assigned by the Legal Manager, Corp Services, AOBO & PCS, and or General Counsel.
Accountabilities
- Provides legal guidance, advise and legal opinions in all its transactions with third parties, government institutions and regulators.
- Ensures current laws and regulations affecting the Company’s operations are followed and brought to the attention of the affected entities.
- Ensures that the Company is in compliance laws and regulations governing its activities.
- Ensures that losses are minimized by ensuring that facts setting out the company’s response in dispute resolutions cases of arbitration, litigation and mediation are professionally collated and correctly set out to advance the interest of the company.
QUALIFICATIONS / EXPERIENCE REQUIRED
- 1st degree in law (2.1 or 2.2).
- Call to the Nigerian Bar +10 years post call experience, 7 of which must be experience in a commercial law firm or commercial environment.
- Excellent Communication Skills
- Masters degree in law and knowledge in French would be advantageous.
